Acceptance of Terms
By creating an account, deploying an agent, or otherwise accessing or using the ServeMy.ai platform (the "Service"), you agree to be bound by these Terms of Service ("Terms") and our Privacy Policy, which is incorporated herein by reference.
If you are entering into these Terms on behalf of a company or other legal entity, you represent that you have the authority to bind that entity to these Terms. In that case, "you" and "your" refers to that entity.
If you do not agree to these Terms, do not use the Service.
The Service
ServeMy.ai provides managed agent runtimes -- isolated, always-on execution environments for autonomous AI agents. We provision, operate, patch, and scale the underlying infrastructure on your behalf. You deploy agents; we run the machines.
The Service includes the web dashboard, the agent catalog, integration connectors, managed inference pools, API access, and any related tooling provided under these Terms.
We reserve the right to modify, suspend, or discontinue any feature of the Service at any time with reasonable notice. We will not make changes that materially degrade the core functionality of an active deployment without providing at least 30 days advance notice by email or in-dashboard notification.
Accounts & Eligibility
You must be at least 18 years old and capable of forming a binding contract to create an account. Accounts are available to individuals and legal entities in jurisdictions where the Service is offered.
You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. Notify us immediately at security@servemy.ai if you suspect unauthorized access.
You may not create accounts by automated means or under false pretenses. We reserve the right to refuse service, terminate accounts, or reclaim usernames at our discretion.
Organizational accounts on the Crew and Fleet plans may invite team members, who are also bound by these Terms. The account owner is jointly responsible for all usage by invited members.
Acceptable Use
You agree to use the Service only for lawful purposes and in accordance with these Terms. You must not:
Deploy agents to conduct or facilitate unlawful surveillance, scraping in violation of applicable law, spam, phishing, fraud, or any activity that violates the rights of third parties.
Use the Service to develop, train, or operate weapons systems, malware, or any capability intended to cause harm.
Attempt to probe, scan, or test the vulnerability of our infrastructure, or circumvent any security or authentication mechanism.
Abuse or interfere with the Service in ways that degrade availability for other users, including excessive automated requests, resource exhaustion, or denial-of-service attacks.
Resell or sublicense access to the Service without our prior written consent.
We may throttle, suspend, or terminate any agent or account that we determine, in our reasonable judgment, is violating this policy or creating risk for the platform or other users.
Your Content & Connections
You retain all intellectual property rights in data, content, and code that you provide to or generate through the Service ("Your Content"). We claim no ownership over Your Content.
By connecting integrations -- such as GitHub repositories, Slack workspaces, databases, or inboxes -- you grant ServeMy.ai a limited, non-exclusive, revocable license to access and process that data solely as necessary to operate your agents on your behalf.
You represent and warrant that you have all rights, consents, and permissions necessary to provide Your Content and grant the above license. You are responsible for ensuring that your agents' access to third-party services complies with the terms of those services.
We will not access Your Content except as required to operate the Service, diagnose platform issues, respond to your support requests, or comply with legal obligations.
Inference & Third-Party Models
The Service offers two inference modes. Under Managed Inference, ServeMy.ai operates the model infrastructure and bills you at the published per-token rates. Under Bring Your Own (BYO) Inference, you supply an API key or endpoint from a third-party provider; we route your agents' requests through that endpoint without markup.
When you use BYO inference, you are also subject to the terms of service and usage policies of the third-party model provider (for example, Anthropic, OpenAI, or Amazon Bedrock). We are not responsible for the availability, pricing changes, or policy enforcement decisions of those providers.
We do not train foundation models on Your Content, and we do not log or retain model inputs or outputs beyond what is necessary for real-time operation, audit logging, and debugging.
Fees, Billing & Spend Caps
Subscription fees are billed monthly in advance on the date of your plan activation. Usage-based charges (managed inference tokens, additional agent units) are billed in arrears at the end of each billing cycle.
All fees are stated in USD and are exclusive of applicable taxes. You authorize us to charge your payment method on file for all amounts due.
Per-agent spend caps for managed inference are set by you in the dashboard. Once a cap is reached, the agent will pause inference requests until the cap is raised or the billing cycle resets. You are responsible for setting caps appropriate to your budget.
Overdue invoices may result in agent suspension. We will send at least one reminder before suspending service. Fees for the period during which an agent is suspended are not refunded.
We reserve the right to update pricing with at least 30 days notice. Continued use after the effective date of a price change constitutes acceptance.
Cancellation & Teardown
You may cancel your subscription at any time from the billing settings in your dashboard -- it takes one click. On cancellation, your plan will remain active through the end of the current billing period.
At the end of the billing period following cancellation, we will tear down all associated agent runtimes, revoke integration tokens, and delete runtime state. We will retain audit logs for 90 days before permanent deletion, unless you request earlier deletion.
We may terminate your account immediately if you materially breach these Terms and fail to cure such breach within 10 days of notice. Upon termination for cause, we do not provide refunds for unused pre-paid periods.
If we discontinue the Service entirely, we will provide at least 90 days notice and will offer a pro-rated refund of any pre-paid fees for the period following discontinuation.
Warranties & Disclaimers
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, WE EXPRESSLY DISCLAIM ALL WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
We do not warrant that the Service will be uninterrupted, error-free, or free of harmful components. Autonomous agent outputs are generated by AI models and may be inaccurate, incomplete, or inappropriate -- you are responsible for reviewing and validating any agent action before it takes effect in critical systems.
Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, SERVEMY.AI AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND LICENSORS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, GOODWILL, OR BUSINESS INTERRUPTION, ARISING OUT OF OR IN CONNECTION WITH THESE TERMS OR YOUR USE OF THE SERVICE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
OUR TOTAL AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID TO SERVEMY.AI IN THE 12 MONTHS PRECEDING THE CLAIM OR (B) $100 USD.
Some jurisdictions do not allow the exclusion of certain warranties or the limitation of liability for consequential damages. In such jurisdictions, our liability is limited to the maximum extent permitted by law.
Indemnification
You agree to indemnify, defend, and hold harmless ServeMy.ai and its affiliates, officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or related to: (a) your use of the Service in violation of these Terms; (b) Your Content; (c) your agents' interactions with third-party services; or (d) any misrepresentation made by you.
We reserve the right to assume control of any matter subject to indemnification at our expense. You will not settle any claim without our prior written consent.
Changes to the Service & Terms
We may update these Terms from time to time. When we make material changes, we will notify you by email at least 14 days before the changes take effect, and we will post the updated Terms at servemy.ai/terms with a revised "Last updated" date.
Your continued use of the Service after the effective date of any changes constitutes your acceptance of the new Terms. If you do not agree to the changes, you may cancel your account before the effective date.
We may also modify or add features to the Service without notice, as long as those modifications do not materially reduce the functionality available to you under your current plan.
Governing Law
These Terms are governed by the laws of the State of Delaware, United States, without regard to its conflict-of-law provisions. You consent to the exclusive jurisdiction of the federal and state courts located in Delaware for any dispute arising out of or relating to these Terms.
Notwithstanding the foregoing, ServeMy.ai may seek injunctive or other equitable relief in any court of competent jurisdiction to protect its intellectual property or confidential information.
If any provision of these Terms is found to be unenforceable, that provision will be modified to the minimum extent necessary to make it enforceable, and the remaining provisions will continue in full force and effect.
